1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Beijing Zhulian Technology Center (北京竹莲科技中心), a sole proprietorship registered in Chaoyang District, Beijing, People's Republic of China (Unified Social Credit Code: 92110105MAK18MGN84), operating the VividGen platform ("we," "us," or "our").

By accessing or using seedancevideogen.com (the "Service"), creating an account, purchasing credits, or subscribing to a plan, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy and Acceptable Use Policy. If you do not agree, you must not use the Service.

2. Description of Service

VividGen is an AI-powered creative platform that provides image generation, video generation, and related creative tools through a credit-based system. The Service acts as an interface to multiple third-party AI models.

2.1 Service Scope: The Service allows users to generate visual content (images and videos) by submitting text prompts and/or reference images. Available features, models, and capabilities may change over time.

2.2 Third-Party AI Models: VividGen integrates with third-party AI model providers to deliver generation capabilities. These providers process your prompts and inputs solely for the purpose of generating the requested content. We do not guarantee the availability, accuracy, or output quality of any specific AI model. Model availability may change without prior notice.

2.3 Modifications: We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes where practicable.

3. Account Registration

You must create an account to purchase credits and use generation features. You agree to: (a) provide accurate, current, and complete registration information; (b) maintain and promptly update your information; (c) safeguard your account credentials; and (d) notify us immediately of any unauthorized access.

You must be at least 18 years old to create an account. Each individual or entity may maintain only one account unless expressly authorized by us. We reserve the right to suspend or terminate accounts that violate these requirements.

4. Subscription Plans

4.1 Auto-Renewal Authorization: By subscribing to a recurring plan, you authorize us to automatically charge your payment method at the beginning of each billing cycle (monthly or annually, as selected) at the then-current price. Your subscription will continue to renew automatically until you cancel.

4.2 Price Changes: We may adjust subscription pricing with at least 30 days' advance notice. If you do not agree to the new price, you may cancel before it takes effect. Continued use after the effective date constitutes acceptance.

4.3 Plan Benefits: Each subscription tier includes a monthly credit allocation, access to specified models and features, and priority processing as described on our pricing page. Unused subscription credits expire at the end of each billing cycle unless otherwise stated.

5. Credit Packs (One-Time Purchase)

5.1 Purchase Authorization: By purchasing a credit pack, you authorize a one-time charge to your payment method for the displayed price. Credit packs are non-recurring and do not auto-renew.

5.2 Credit Validity: Credits purchased via packs are valid for 12 months from the date of purchase unless otherwise specified. Expired credits are forfeited and non-refundable.

5.3 Non-Transferable: Credits are non-transferable, cannot be resold, exchanged for cash, or transferred between accounts.

6. Cancellation

6.1 How to Cancel: You may cancel your subscription at any time through your account settings (Settings → Subscription → Cancel) or by emailing cancel@seedancevideogen.com. Cancellation requests via email will be processed within 2 business days.

6.2 Effect of Cancellation: Cancellation takes effect at the end of the current billing period. You will retain access to your subscription benefits and remaining credits until the period ends. We do not provide prorated refunds for partial billing periods.

6.3 Confirmation: You will receive an email confirmation once your cancellation is processed. If you do not receive confirmation within 3 business days, please contact us.

7. Refund Policy

7.1 7-Day Money-Back Guarantee: If you are unsatisfied with your first subscription purchase or credit pack, you may request a full refund within 7 days of the original purchase date, provided you have not consumed more than 10% of the purchased credits.

7.2 Non-Refundable: Consumed credits (used for generation), subscription fees after the 7-day window, and credits forfeited due to expiration or account termination for Terms violations are non-refundable.

7.3 How to Request: Email refund@seedancevideogen.com with your order number and reason. We will respond within 2 business days and process approved refunds within 5-10 business days to your original payment method.

8. Billing Disputes

If you believe you have been charged incorrectly, contact us at billing@seedancevideogen.com with your order number and a description of the issue. We will acknowledge your dispute within 2 business days and work to resolve it within 10 business days.

During the investigation, the disputed amount will not be collected if it is part of a recurring charge. If the dispute is resolved in your favor, any amounts collected will be refunded promptly. You agree to raise disputes with us before initiating a chargeback with your payment provider.

9. AI Content & Intellectual Property

9.1 Output Ownership: Content generated through the Service using your credits is owned by you, subject to the limitations of the underlying AI model licenses. You may use generated content for personal and commercial purposes.

9.2 Input License: By submitting prompts, reference images, or other inputs, you grant us a limited, non-exclusive license to process those inputs solely for the purpose of providing the Service to you.

9.3 No Training Without Consent: We will not use your prompts, inputs, or generated content to train or fine-tune AI models without your explicit opt-in consent.

9.4 Platform IP: The Service itself, including its code, design, text, graphics, and branding (excluding user-generated content), is owned by us and protected by intellectual property laws. You may not reverse-engineer, decompile, or create derivative works of the Service.

10. Prohibited Activities

10.1 General Prohibitions: You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to our systems; (c) interfere with or disrupt the Service; (d) use automated tools to scrape or extract data from the Service; (e) resell, sublicense, or redistribute access to the Service; or (f) misrepresent your identity or affiliation.

10.2 Content Prohibitions: You must not generate content that violates our Acceptable Use Policy, including but not limited to: pornographic/NSFW content, violence/gore, hate speech, child sexual abuse material (CSAM), deepfakes or impersonation of real individuals, and copyright/trademark infringing content.

10.3 AI-Specific Prohibitions: As an AI-powered platform, you additionally agree not to: (a) use outputs to train or develop competing AI models or services; (b) systematically scrape or bulk-download generated content for dataset creation; (c) use the Service to impersonate licensed professionals (medical, legal, financial advisors); (d) generate content designed to deceive in regulated contexts (e.g., fake evidence, fraudulent documents); or (e) circumvent content moderation or safety filters.

11. Payment Processing

All payments are processed by Waffo Pancake, a PCI-DSS Level 1 certified payment service provider. We do not store, process, or have access to your full credit card numbers, CVV codes, or bank account credentials on our servers.

By providing payment information, you represent that you are authorized to use the payment method. All prices are displayed in USD unless otherwise stated. Applicable taxes are calculated at checkout based on your location.

Payment transactions are encrypted using TLS/SSL. Waffo Pancake's use of your payment data is governed by their privacy policy and PCI-DSS compliance framework.

12. Disclaimers

12.1 General Disclaimer: The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

12.2 AI-Generated Content Disclaimer: AI-generated content is produced by machine learning models and may contain inaccuracies, biases, or errors. Generated images and videos are synthetic and do not depict real events, persons, or places unless explicitly based on user-provided reference material. You are solely responsible for how you use generated content, including verifying its accuracy and ensuring compliance with applicable laws before publication or distribution. VividGen does not guarantee that generated content will meet your specific requirements or be free from defects.

13. Limitation of Liability

To the maximum extent permitted by applicable law, VividGen and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or use, arising from your use of or inability to use the Service. Our total aggregate liability for any claims related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless VividGen, its owner, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) content you generate or distribute using the Service.

15. Governing Law & Termination

15.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Chaoyang District, Beijing, China.

15.2 Termination by Us: We may terminate or suspend your account immediately, without prior notice or liability, for breach of these Terms or our Acceptable Use Policy. Upon termination for cause, unused credits are forfeited.

15.3 Termination by You: You may terminate your account at any time by contacting support@seedancevideogen.com. Upon voluntary termination, unused credits purchased within the last 7 days may be refunded per Section 7.
